Membership Terms & Conditions

In consideration of Member’s Membership in Health-ISAC, Members acknowledge and agree as follows:

Member Benefits

Member shall be eligible to participate in the Member benefits as listed on the Health-ISAC website.

Membership Fees

Health-ISAC charges an Annual Membership Fee. Annual fees are based on the Member’s annual revenue and for-profit or nonprofit status, broken down into predetermined tier levels. These membership tier levels are listed on Health-ISAC’s website and may change from time to time at the sole discretion of Health-ISAC.

Term, Renewal, and Termination

• Membership terms are 12 months
• Membership terms renew at the end of the applicable term, subject to payment of membership dues prior to the renewal date
• Membership may be terminated by the Member at any time upon written notice to Heath-ISAC. No refunds will be issued in connection with any Member’s early termination
• Membership is non-transferable

Good Standing: Members shall be required to remain in good standing during the term of their membership in Health-ISAC. For purposes of these terms and conditions, the term “good standing” shall mean (i) annual membership fees are paid; (ii) Member has not violated and is currently in compliance with these terms and conditions; (iii) Member has and continues to meet the eligibility qualifications for Membership as indicated on the Health-ISAC website and (iv) Member abides by the Traffic Light Protocol.

No Commercial Solicitation

Members may have previous commercial relationships with each other. This is a trusted sharing community. Members should not consider using this membership for commercial soliciting or lead generation.

Code of Conduct

Members agree to comply at all times with all current Health-ISAC policies, including but not limited to the Traffic Light Protocol and the Code of Conduct, which includes, in part, policies regarding honest and ethical conduct, antitrust, and IP protection, as the same may be amended from time to time at the sole discretion of Health-ISAC.

Health-ISAC is dedicated to providing a harassment-free event experience for everyone, regardless of gender, gender identity, and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, or religious preferences. We do not tolerate harassment in any form. Members (and their representatives) violating this policy may result in the termination of their membership without a refund at the discretion of Health-ISAC.

Intellectual Property

Except as otherwise expressly agreed to in writing between a Member and Health-ISAC, Member contributions to any Health-ISAC works in connection with its Membership, participation in any Membership activities or in connection with activities performed for the benefit of Health-ISAC, shall be and remain the sole property of Health-ISAC. Member acknowledges that Member shall not be permitted to use Health-ISAC’s name, trademarks, or logos (collectively “Marks”) without prior written consent from Health-ISAC. Any use of such Marks without prior written permission shall subject a Member’s Membership to immediate termination without refund.

Warranties

ALL BENEFITS, PRODUCTS, SERVICES, AND ACTIVITIES PROVIDED BY HEALTH-ISAC TO OR FOR THE BENEFIT OF MEMBERS ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND HEALTH-ISAC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. HEALTH-ISAC DOES NOT WARRANT AND IS NOT RESPONSIBLE FOR ANY THIRD-PARTY MATERIALS OR SERVICES, INCLUDING ANY SHARED INFORMATION OF OTHER MEMBERS.

Limitation of Liability

NEITHER HEALTH-ISAC NOR A MEMBER WILL BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE, HOWEVER CAUSED, ARISING OUT OF OR IN CONNECTION WITH A MEMBER’S MEMBERSHIP IN HEALTH-ISAC, OR ANY SERVICES, AND ACTIVITIES PROVIDED TO OR ENGAGED BY MEMBER IN CONNECTION THEREWITH. THE AGGREGATE LIABILITY OF HEALTH-ISAC OR A MEMBER FOR ALL CLAIMS ARISING IN CONNECTION WITH THEIR MEMBERSHIP WILL NOT EXCEED THE TOTAL AMOUNT OF MEMBERSHIP FEES PAID BY SUCH MEMBER DURING THE MOST RECENT 12 MONTHS OF MEMBERSHIP.

Modification

These Membership Terms and Conditions may be modified by Health-ISAC at any time in its sole discretion upon 60 days prior notice to Member.
